These Terms govern your use of Bearing’s products and services (“Services”). By accessing or using the Services you agree to these Terms.

1. Accounts and access

  • You must provide accurate account information and keep it current.
  • You are responsible for safeguarding credentials and for activity on your account.
  • We may refuse service, close accounts, or reclaim usernames at our discretion.

2. Acceptable use

  • No illegal activity, malware, scraping without permission, or attempts to breach security.
  • No misuse of invitations or spam; respect privacy and local regulations when emailing participants.
  • Do not reverse engineer the Services except where permitted by law.

3. Customer content

You retain ownership of your surveys, responses, and uploads (“Content”). You grant us a worldwide, non‑exclusive license to host, process, and display Content as needed to provide the Services and support you. You are responsible for obtaining necessary permissions from participants.

4. Privacy

Our Privacy Policy explains how we handle personal data. We do not sell personal information. For enterprise customers, a DPA may apply.

5. Email and messaging

We send necessary transactional emails (access, survey invites, reminders). Users can unsubscribe from optional categories via email headers or settings.

6. Intellectual property

The Services, including question bank, UI, logos, and underlying software are owned by Bearing or its licensors and are protected by law. Except as permitted here, you may not copy, modify, or create derivative works of the Services.

7. Beta features

We sometimes offer preview features (“Beta”). Betas are provided “as is” without warranties, may change or be withdrawn, and may be subject to usage limits.

8. Warranties & disclaimer

The Services are provided “as is” and “as available.” We disclaim all implied warranties to the extent permitted by law, including merchantability, fitness for a particular purpose, and non‑infringement.

9. Limitation of liability

To the fullest extent permitted by law, Bearing will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our aggregate liability arising out of these Terms will not exceed the greater of USD $100 or amounts paid by you to us in the 3 months prior to the claim.

10. Suspension & termination

You may stop using the Services at any time. We may suspend or terminate access for cause, including breaches, security risks, or non‑payment. Upon termination, your rights cease and we may delete or disable access to Content after a reasonable period or as required by law.

11. Governing law

These Terms are governed by applicable law of the place of incorporation/operation of Bearing without regard to conflict‑of‑law rules. Disputes will be resolved in competent courts of that jurisdiction, unless the parties agree otherwise in writing.

12. Changes

We may update these Terms as our Services evolve. Material changes will be notified in‑app or via email and take effect prospectively.
